Randoncorp announces changes in its corporate governance
Sérgio L. Carvalho steps down as CEO, with President Daniel Randon taking over the role

Randoncorp announced to the market this Thursday (20th) that the current CEO, Sérgio L. Carvalho, will step down from this role, as well as from the position of President and CEO of Frasle Mobility, starting September 1, 2025. This move, already planned in the companies' governance process, reflects Sérgio's individual planning, both professionally and personally, considering his desire to return to live in the United States, where his family already resides. In this new context, Sérgio will serve Randoncorp as a senior executive advisor, in the role of an independent external consultant. The company's president, Daniel Randon, will also assume the position of CEO.

As a senior executive advisor, Sérgio will contribute to the company's strategic planning and will remain a member of the deliberative councils of the joint ventures Master Brakes and JOST Brasil.

Sérgio took over as CEO of Randoncorp in 2022, focusing on the internationalization of the company, accelerated growth, and strengthening of the Executive Committee. Key financial indicators, such as revenue, EBITDA, and net income, increased four to nine times during this period. The acquisition of 23 new companies since then has strategically positioned Randoncorp and Frasle Mobility abroad, in addition to significantly expanding the product portfolio and exposure to the aftermarket segment of both companies. His management has also been marked by the expansion of the companies' capacity, product portfolio, and disruptive innovation and technologies, focusing on smart materials, embedded electronics, and electromobility. All these attributes stem from advanced concepts even for the most developed countries in the world. Randoncorp is currently present with its products in more than 125 countries, has 33 industrial operations, and 20 distribution centers in 10 countries.

Daniel Randon, who already held the position of President and CEO of the company from 2019 to 2021, returns to management at a different time, with greater governance maturity, organized structures, and strong leaderships ahead of the Executive Committee and the company's business verticals. Daniel will continue the work that has been done, ensuring to uphold the founders' values, which was also conducted with excellence by Sérgio in the last three years.

Frasle Mobility

With the new structure, also starting from September 1, 2025 Daniel Randon will assume the presidency of Frasle Mobility and Anderson Pontalti, the current COO, will take over as CEO of the same company, responsible for all operations both in Brazil and abroad. Pontalti also remains in the position of EVP (Executive Vice President) International of Randoncorp, responsible for the units of the Auto Parts and OEM verticals in international geographies, except South America.

Strengthened Executive Committee

In the second half of 2024, Randoncorp promoted a reorganization in its Executive Committee, creating two executive vice-president (EVP) positions to manage the company's international operations. With this, Anderson Pontalti moved to the position of EVP (Executive Vice President) International and COO of Frasle Mobility, responsible for the Motion Control vertical (global) and the Auto Parts and OEM verticals in international geographies such as North America, Europe, and Asia, except South America. Ricardo Escoboza assumed the position of EVP (Executive Vice President) South America and COO of the Auto Parts vertical, responsible for the operations of the Auto Parts and OEM verticals in South America.

In addition to the new roles, the Executive Committee also welcomed a new member in the second half of 2024: Marcos Baptistucci, who assumed the role of Chief People & Culture Officer (CPCO), leading the People and Culture, Brand and Reputation, Health, Safety and Environment (HSE), Environmental, Social, and Governance (ESG) and Labor and Union Relations fronts.

The Randoncorp Executive Committee also includes Paulo Prignolato - VP of Randoncorp and Chief Financial Officer (CFO), Daniel Martin Ely – VP of Randoncorp and COO of Rands, and César Augusto Ferreira – Chief Technology and Innovation Officer (CTIO).
